These Software License Terms (“Agreement”) govern the purchase, download, activation, access, and use of software products, digital products, license keys, downloadable content, SaaS services, and other technology solutions provided by TECHALCHEMY TECHNOLOGY PRIVATE LIMITED (“Company”, “we”, “our”, or “us”).

By purchasing, downloading, activating, accessing, or using any product or service available through our platform, you (“User”, “Customer”, or “You”) agree to be bound by these Software License Terms.

1. Nature of Products

Our digital offerings may include, but are not limited to:

  • SaaS (Software as a Service) solutions

  • License keys and activation codes

2. License Grant

Upon successful purchase and payment, TECHALCHEMY TECHNOLOGY PRIVATE LIMITED grants you a limited:

  • Non-exclusive license

  • Non-transferable license

  • Revocable license

This license allows you to access and use the purchased product strictly according to its intended purpose and applicable product terms.

Ownership of all software, intellectual property, trademarks, and related materials remains with the Company or the original software owner.

3. License Restrictions

Unless expressly permitted, you agree not to:

  • Share, sell, rent, lease, sublicense, or transfer software licenses

  • Distribute license keys or activation credentials

  • Reverse engineer, decompile, modify, or attempt to extract source code

  • Copy or reproduce software beyond authorized usage

  • Circumvent security, licensing, or access-control mechanisms

  • Use software for unlawful or fraudulent activities

  • Claim ownership of software or intellectual property

Violation of these restrictions may result in:

  • Immediate license termination

  • Account suspension or permanent closure

  • Revocation of access rights

  • Legal action where applicable

4. Activation and Usage Policy

Unless otherwise specified:

  • Licenses may be limited to a specific number of devices or users

  • Activation limits are determined by the applicable product license

  • Reinstallation rights may vary by product

  • Hardware changes or system modifications may affect activation eligibility

Customers are responsible for reviewing product-specific licensing information before purchase.

5. Delivery of Digital Products

Digital products may be delivered through:

  • User dashboard access

  • Download links

  • Email delivery

  • License key issuance

  • Cloud-based account access

Once a product, license key, activation code, or download link has been delivered, it is considered successfully provided.

Customers are responsible for maintaining the confidentiality and security of their access credentials.

6. License Types

Depending on the product, licenses may include:

Lifetime License

Provides access for the supported lifetime of the purchased product version, subject to applicable terms.

Subscription License

Provides access for a defined subscription period, such as:

  • Monthly

  • Quarterly

Access may expire upon subscription cancellation or non-renewal.

7. Refunds and License Purchases

are generally non-refundable once delivered or activated.

TECHALCHEMY TECHNOLOGY PRIVATE LIMITED does not claim ownership of third-party software and does not alter, crack, bypass, or modify software licensing systems.

10. License Suspension and Termination

We reserve the right to suspend or terminate licenses and accounts if:

  • License misuse is detected

  • Unauthorized sharing occurs

  • Fraudulent activity is identified

  • Payment disputes or chargeback abuse occur

  • This Agreement is violated

Termination may occur without prior notice where necessary to protect our platform, users, or legal interests.

11. Intellectual Property Rights

All software, content, trademarks, logos, graphics, documentation, and technology made available through our platform remain the exclusive property of their respective owners.

Purchasing a license does not transfer ownership of any intellectual property rights.

Users may only use products within the scope of the granted license.

12. Limitation of Liability

To the fullest extent permitted by law, TECHALCHEMY TECHNOLOGY PRIVATE LIMITED shall not be liable for:

  • Data loss

  • Business interruption

  • Revenue loss

  • Profit loss

  • System failures

  • Hardware damage

  • Software incompatibility

  • Indirect or consequential damages

Our maximum liability shall not exceed the amount paid for the specific product or service giving rise to the claim.

13. Updates and Product Changes

Software updates, patches, upgrades, and new releases may be provided at our discretion or according to the applicable product plan.

Unless explicitly stated:

  • Updates are not guaranteed

  • Major version upgrades may require separate purchases

  • Feature availability may change over time

14. Governing Law and Jurisdiction

These Software License Terms shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the competent courts located in Maharashtra, India.
